TERMS OF SERVICE

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PALZ APP. BY CREATING AN ACCOUNT OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you and KGN Productions ("Palz", "we", "our", or "us") governing your access to and use of the Palz mobile application, website, and related services (collectively, the "Service").

By registering for an account, accessing, or using the Service, you confirm that you:
  (a) have read, understood, and agree to be bound by these Terms;
  (b) are at least 18 years of age;
  (c) have the legal capacity to enter into this agreement; and
  (d) agree to our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you must not access or use the Service.

2. ELIGIBILITY

2.1 Age Requirement. You must be at least 18 years old to use Palz. By creating an account, you represent and warrant that you are 18 years of age or older. If we discover that you are under 18, we will immediately terminate your account.

2.2 Geographic Availability. The Service is available where permitted by law. You are responsible for ensuring your use complies with all local laws and regulations.

2.3 Account Integrity. You may not create an account on behalf of another person without their express written consent. You may not create more than one personal account.

3. THE SERVICE

3.1 Description. Palz is a proximity-based social networking application that allows users who are physically near one another to discover and connect with compatible people. The Service uses your device's GPS location to detect physical proximity between users and facilitates profile sharing and direct communication between matched users.

3.2 Proximity Features. The Service uses your real-time GPS location to detect nearby users. You understand and consent to collection of your location data while the app is open and you have made yourself discoverable. The app does not collect your location in the background.

3.3 Compatibility Matching. Our algorithm calculates compatibility scores based on your onboarding questionnaire responses, interests, and preferences. These scores are estimates and do not guarantee personal compatibility.

3.4 Service Modifications. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

4. ACCOUNTS AND REGISTRATION

4.1 Account Creation. You must provide accurate, current, and complete information during registration. You agree to keep this information up to date.

4.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at legal@palzapp.com of any unauthorized use of your account.

4.3 Account Termination. You may delete your account at any time through the Settings screen. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

5. USER CONDUCT

5.1 You agree not to use the Service to:
  (a) harass, bully, intimidate, stalk, threaten, or harm any person;
  (b) post or share content that is defamatory, obscene, pornographic, hateful, or that promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
  (c) impersonate any person or entity, or misrepresent your identity or affiliation;
  (d) collect or harvest personal data about other users without their consent;
  (e) send unsolicited commercial messages or spam;
  (f) engage in or facilitate human trafficking, prostitution, or exploitation of any kind;
  (g) engage in unlawful activity of any kind;
  (h) attempt to bypass, damage, or interfere with the security or functionality of the Service;
  (i) use automated tools, bots, scrapers, or scripts to access the Service;
  (j) share your account credentials with any third party;
  (k) create fake profiles or misrepresent your identity.

5.2 We reserve the right to investigate and take appropriate action against violations, including removing content, suspending or terminating accounts, and reporting to law enforcement.

6. CONTENT

6.1 Your Content. You retain ownership of content you post ("User Content"). By posting User Content, you grant Palz a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, reproduce, and distribute your User Content solely to operate and improve the Service.

6.2 Content Standards. User Content must not: (a) violate any applicable law; (b) infringe any third-party intellectual property rights; (c) contain nudity, explicit sexual content, or graphic violence; (d) depict minors in any inappropriate manner; or (e) constitute hate speech, harassment, or threats.

6.3 Content Removal. We may remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful or inappropriate, without notice.

6.4 Stories and Temporary Content. Content posted as "Stories" automatically expires and is deleted after 24 hours. Permanent posts remain until you delete them or your account is terminated.

7. PRIVACY AND LOCATION DATA

7.1 Privacy Policy. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms. Please review it carefully.

7.2 Location Data. The Service requires continuous access to your precise GPS location to function. You may disable location access through your device settings, but doing so will prevent core features of the Service from working.

7.3 Discoverable Mode. When you enable the "Discoverable" setting, other users may detect your presence within your configured proximity radius. You may disable this at any time in Settings.

8. SAFETY

8.1 Your Safety. Your safety is your responsibility. We provide tools such as blocking and reporting, but we cannot guarantee your safety when meeting other users in person. Always meet in public places and take appropriate precautions.

8.2 Reporting. You may report inappropriate users or content through the app. We will review all reports and take appropriate action, but we cannot guarantee any specific outcome or response time.

8.3 Blocking. You may block any user at any time. Blocked users will not be able to see you on the radar, message you, or interact with your profile.

9. INTELLECTUAL PROPERTY

9.1 Palz Property. The Service, including its design, graphics, code, algorithms, and trademarks, is owned by KGN Productions and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9.2 Feedback. If you provide us with feedback or suggestions, you grant us the right to use such feedback without restriction or compensation to you.

9.3 Copyright Complaints. If you believe content on Palz infringes your copyright or other intellectual property rights, contact us at legal@palzapp.com with:
  (a) your name, address and contact details;
  (b) identification of the work you say has been infringed;
  (c) identification of the specific content on the Service and where to find it (for example, the post or profile);
  (d) a statement that you believe in good faith the use is not authorised by the rights holder, its agent, or the law;
  (e) a statement that the information in your notice is accurate; and
  (f) your physical or electronic signature.

You may also report content from inside the app — open the post, profile or conversation, choose Report, and select "Copyright or intellectual property". That reaches the same place and is usually faster.

9.4 What We Do With a Complaint. We review complaints and may remove or restrict access to the content while we do. We will pass the complaint to the person who posted it, and they may respond. We may reinstate content if we are satisfied the complaint was mistaken or has been withdrawn.

9.5 Repeat Infringers. We terminate the accounts of users who repeatedly infringe the intellectual property rights of others.

9.6 Music and Other Third-Party Content. Content you post — including video that captures music playing, or that you have added a soundtrack to — must be content you own or have permission to use. KGN Productions does not license music on your behalf, and posting a recording you do not have rights to may result in its removal and, for repeated cases, termination of your account.

10. DISCLAIMERS

10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) the results obtained from the Service will be accurate or reliable; or (c) any defects will be corrected.

10.3 We are not responsible for the conduct, online or offline, of any user of the Service. You assume all risk from interactions with other users.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KGN PRODUCTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  (a) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE;
  (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  (c) ANY CONTENT OBTAINED FROM THE SERVICE; OR
  (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless KGN Productions and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. DISPUTE RESOLUTION

13.1 Governing Law. These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

13.2 Arbitration. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association. You waive your right to a jury trial and to participate in a class action lawsuit.

13.3 Exceptions. Either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims involving intellectual property or unauthorized access to the Service.

14. GENERAL

14.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and KGN Productions regarding the Service.

14.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

14.3 Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.

14.5 Changes. We may update these Terms from time to time. We will notify you of material changes by posting the new Terms in the app and updating the "Effective Date." Your continued use of the Service after any change constitutes your acceptance of the new Terms.
